We provide an outcomes focused and efficient approach to both public and private clients on all forms of M&A transactions. We have a deep understanding of all elements of an M&A transaction and can assist at all stages of the transaction process. We have extensive experience working on both large cross border M&A transactions and medium/small domestic M&A transactions.

We advise clients on a broad range of equity capital markets matters, including seed capital raisings, initial public offerings and secondary offerings (including share purchase plans, placements, rights issues and convertible notes). More generally, we also have an in-depth understanding of the Corporations Act 2001 (Cth) and the ASX Listing Rules, allowing us to provide clear and concise advice to public company clients regarding their compliance and reporting obligations.

We advise a variety of clients in the energy and resources industry, including mining and oil/gas companies (both at exploration and production stages). We draft and negotiate various agreements for our clients in the energy and resources industries, including royalty agreements, land access agreements, project sale agreements, offtake agreements and joint venture agreements. We also regularly advise clients on their rights and obligations under key legislation governing the energy and resources sector in Western Australia.

We have extensive experience advising Agribusiness (both producers and suppliers/service providers) including on M&A transactions, land access matters, negotiation with Government and other stakeholders and on operational and procurement agreements.

We have extensive experience and a proven track record of assisting companies from a range of industries to list on the ASX. We can assist with all aspects of the ASX-listing process, including structuring, seed funding, liaison with ASX and ASIC, documentation and due diligence.

We provide clients across a range of industries with general commercial legal advice and assistance. This includes drafting and negotiating various commercial agreements and contracts, including goods and service agreements and various other procurement and project agreements. We also advise clients on their rights and obligations under legislation applicable to their businesses.
